These Terms and Conditions govern your use of the Boreal Compass website and any consulting services you engage us to provide. By using our website or entering into an engagement with us, you agree to these terms. Please read them carefully. If you have questions, contact us at [email protected].
1. Definitions
- "Boreal Compass," "We," "Us," or "Our" refers to Boreal Compass, a consulting firm incorporated in British Columbia, Canada.
- "Client" or "You" refers to any individual or organization that uses our website or engages our services.
- "Services" refers to the consulting engagements described on our website, including the Organizational Health Check, Partnership and Alliance Advisory, and Board Readiness Program.
- "Agreement" refers to the written scope agreement signed by both parties prior to the commencement of an engagement.
- "Content" refers to all written, visual, or other material produced by Boreal Compass in connection with an engagement.
2. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organization, you confirm that you have authority to bind that organization to these terms.
These terms apply to all visitors, clients, and others who access or use our services. Use of the website constitutes acceptance of these terms.
3. Service Description and Availability
Boreal Compass provides business consulting services in the areas of organizational health, strategic partnerships, and governance readiness. Service details, including scope, timeline, and fees, are described on our website and confirmed in writing prior to each engagement.
Services are available to organizations primarily located in Canada. Remote delivery is available across Canada. In-person sessions may be subject to travel arrangements and additional costs as agreed in the engagement scope.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information as required for the engagement
- Cooperate in good faith with the consulting process, including scheduling interviews, providing documents, and attending agreed sessions
- Not use our website for any unlawful purpose or in any way that could harm Boreal Compass or third parties
- Not attempt to gain unauthorized access to any part of our systems or services
5. Intellectual Property
All methodologies, frameworks, templates, and intellectual property developed by Boreal Compass remain the property of Boreal Compass. Upon full payment, clients receive a non-exclusive, non-transferable license to use deliverables (such as reports, templates, and documentation) produced for their specific engagement.
Clients may not reproduce, sell, or distribute our proprietary frameworks or methodologies without prior written consent.
6. Payment Terms
Fees are stated in Canadian Dollars (CAD) and specified in the engagement scope agreement. We offer fixed-fee engagements — the agreed price does not change unless a documented scope change is formally agreed upon by both parties in writing.
Payment schedules are specified in the scope agreement. Typically, an initial payment is required to confirm the engagement, with the balance invoiced upon delivery. Accepted payment methods include electronic bank transfer and major credit cards.
Refund Policy: If an engagement is terminated by the client after work has commenced, fees are assessed proportionally based on work completed to the date of termination. We do not offer refunds on completed deliverables.
7. Service-Specific Terms
Organizational Health Check: Client agrees to facilitate access for confidential interviews with staff or leadership as outlined in the scope. Participation is voluntary; Boreal Compass will not attribute comments to individuals in any deliverable.
Partnership and Alliance Advisory: Where both partner organizations are involved in facilitated sessions, each party must agree in writing to the scope and confidentiality terms. We do not disclose one party's confidential information to the other.
Board Readiness Program: Document templates and governance frameworks provided are for the client's internal use only. The 90-day check-in call is included and must be scheduled within 120 days of program conclusion to remain valid.
8. Disclaimers
Our services are provided in good faith based on information available at the time of the engagement. Consulting recommendations are advisory in nature. We do not provide legal, financial, or regulatory advice. Implementation of recommendations is the responsibility of the client organization.
Our website is provided "as is" without warranty of any kind. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by applicable law in British Columbia, Boreal Compass's total liability to any client for any claim arising from our services is limited to the total fees paid by that client for the specific engagement to which the claim relates.
Boreal Compass is not liable for indirect, incidental, consequential, or punitive damages arising from the use of our services or website, even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Boreal Compass and its consultants from any claims, damages, or expenses arising from your use of our services in violation of these terms, your misrepresentation of information provided during an engagement, or your violation of applicable law.
11. Termination
Either party may terminate an engagement with written notice. Boreal Compass reserves the right to terminate an engagement if the client fails to meet payment obligations or materially breaches the engagement agreement.
Upon termination, Boreal Compass will provide a summary of work completed and an invoice reflecting fees for work undertaken to that point.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If informal resolution is not achieved within 30 days, the parties may pursue mediation through a mutually agreed mediator in Vancouver, BC.
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. Courts of competent jurisdiction in British Columbia have exclusive jurisdiction over any unresolved disputes.
13. General Provisions
- Entire Agreement: These terms, together with any signed scope agreement, constitute the entire agreement between the parties.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign your rights or obligations under these terms without prior written consent from Boreal Compass.
14. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via a notice on our website at least 14 days before they take effect. Continued use of our website or services following the effective date constitutes acceptance of the updated terms.
